Job Description:

Title: Corporate Counsel

Main Responsibilities:

  • Provide legal advice on matters of tax planning, doubts and possible tax litigation, assisting in the preparation of theses and risk assessment for decision making.

  • Ensure compliance with corporate rules and good corporate governance, including drafting and recording the respective corporate changes and minutes of meeting in all necessary bodies.

  • To legally advise all areas of the group companies in Brazil and in negotiations with suppliers and clients, analyzing the main legal risks involved and preparing / reviewing contracts and related documents.

  • Promote legal support for extrajudicial and judicial collection of delinquent clients of group companies.

  • Experience in preparing, writing, analyzing and interpreting business contracts.

  • Legal support for the financial area in the analysis of guarantees and respective risks in the commercial relations with customers and suppliers.

  • Provide legal assistance to the tax department in tax matters.

  • Institutional representation of group companies in meetings in business associations, without decision making.

  • Legal support to the Human Resources department, through analysis of issues and labor risks.

  • Legal support for daily business issues related to the sales department.

  • Management team of the legal department, aiming professional development, including review of the work to the activities developed by the team.

  • Conduct internal investigations of compliance issues, business partner and government inquiries and handle responses and resolution.

  • Prepare, update, implement and manage policies, communications and training presentations relating to compliance. Provide compliance training to all levels of the organization.

  • Monitor and analyze new regulatory and legal compliance requirements; determine relevant impact and recommend and assist with implementation of plans to meet applicable requirements.

  • Other duties as assigned

Skills and Requirements:

  • 5-8 Years’ experience practicing law within a law firm and or corporate environment

  • Fluent in English and Portuguese, preferred Spanish

  • Education requirement Law degree

  • Experience in compliance practice areas common to global companies, including ethics, anti-corruption, antitrust, data privacy, and corporate investigations.

  • Analytical and problem-solving skills

  • Interpersonal, influencing and relationship building skills, across various level of the organization

  • Proficient in the Microsoft Suite- Microsoft Word, Excel skills
